Nomura Real Estate Office Fund, Inc. (Nomura Office Fund or NOF)

NOF mainly invests in real-estate related assets in accordance with the Investment Trust Law, with the aim of securing stable medium- and long-term earnings and to ensure steady portfolio growth.

Nomura Real Estate Asset Management Co., Ltd. (NREAM) (Asset Management Company)

Pursuant to the Asset Management Services Agreement, the Asset Management Company shall manage the assets held by NOF in accordance with the objectives and policies outlined in NOF's Articles of Incorporation.

Mitsubishi UFJ Trust and Banking Corporation (Mitsubishi UFJ Trust) (Asset Custodian / Administrator of Unitholders Register / General Administration Relating to Accounting, etc. / Manager of Special Accounts)

Pursuant to the Asset Custody Services Agreement, Mitsubishi UFJ Trust shall provide custodian services with regard to the assets held by NOF.

Pursuant to the Transfer Agency Services Agreement and as the transfer agent, Mitsubishi UFJ Trust shall provide services regarding the register of unitholders. Mitsubishi UFJ Trust shall also conduct related services such as the preparation, setting up and safe keeping of NOF's related records, and conduct certain services with regard to the management of general unitholders' meetings and the payment of distributions to unitholders.

In addition, Mitsubishi UFJ Trust shall provide general accounting and management services such as calculation, preparation and maintenance of accounting books and services regarding tax payments.

Pursuant to the Special Account Management Agreement and as the manager of special accounts in relation to book-entry transfer units issued by NOF, Mitsubishi UFJ Trust shall provide services regarding the register of book-entry transfer accounts as well as related services such as the preparation, setting up and safe keeping of NOF’s related records.

NOF or the trustee in those cases where NOF acquires real estate in the form of a trust beneficial interest, shall contract with the above-mentioned property management companies for property management services. Details of the property management services to be provided are as follows:

1. Property handover-related services upon acquisition
2. Leasing management services including promotional and planning activities
3. Accounting services
4. Building management and supervisory services
5. Tenant maintenance
6. Repairs, maintenance and renovation supervisory services
7. Business planning and preparation of business reports
8. Other services

In the event NOF contracts with companies other than property management companies for maintenance of buildings and facilities, a property management company is assigned a role of supervision of such other companies.
